Terms of Service

These Terms of Service (the "Terms") are an agreement between Alethi LLC ("Alethi", "we", "us") and you, and govern your use of the GitStack service at gitstack.sh, including its web interface, APIs, and git hosting (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes it.

1. The Service

GitStack is a hosted source-control forge for stacked code review. It stores git repositories you push to it, renders and manages code reviews, and can mirror repositories and metadata to and from GitHub at your direction. The gs command-line tool is licensed separately under the End User License Agreement distributed with it; these Terms govern the hosted Service.

2. Accounts

You must be at least 13 years old (or the minimum age required in your country) to use the Service. You sign in through GitHub; you are responsible for safeguarding access to your GitHub account and any credentials, tokens, or devices authorized against your GitStack account, and for all activity that occurs under your account. Organization accounts are administered by their owners, who control member access and the data in organization repositories.

3. Plans, billing, and changes to the Service

• Every plan includes every feature. Paid plans are priced by the number of members with access to your private repositories. Fees, plan limits, and billing intervals are presented at purchase. Except where required by law, fees are non-refundable.
• Material changes to the limits we publish for a plan are subject to the notice period in section 13.
• If a paid plan lapses or is downgraded, a namespace over the lower plan's limits may become read-only for pushes, but your repositories remain yours and exportable.
• The Service evolves; we may add, change, or remove features. We will not materially reduce the core function of a paid plan during a period you have already paid for.

4. Your content

• You retain all ownership of the source code, reviews, comments, and other material you submit to the Service ("Content").
• You grant Alethi a limited, worldwide, non-exclusive license to host, store, reproduce, transmit, back up, and display your Content solely as needed to operate, secure, and improve the Service (for example, serving your repositories over git and HTTPS, rendering diffs, and mirroring to GitHub where you have configured that).
• We access the contents of private repositories only to operate the Service, to investigate abuse or security incidents, when you ask us to, or when the law requires it.
• You are responsible for your Content and must have the rights needed to host it. We may remove Content that violates these Terms or the law.

5. Acceptable use

You agree not to:

• use the Service for unlawful purposes, or to host malware, phishing infrastructure, or content you have no right to host;
• probe, disrupt, or circumvent the Service's security, isolation, rate limits, usage metering, or plan limits;
• use the Service for cryptocurrency mining, spam, or other resource abuse, or place unreasonable load on shared infrastructure;
• store data unrelated to the source you host beyond the storage quota of your plan;
• resell or provide the Service to third parties as your own hosted offering without our written agreement.

6. GitHub integration

Mirroring and issue/CI integration run against GitHub using access you grant through your GitHub account or a GitHub App installation. Your use of GitHub remains governed by GitHub's own terms, and we are not responsible for GitHub's availability or actions.

7. Privacy

Our Privacy Policy describes what personal data we collect and how we use it. By using the Service you consent to that collection and use.

8. Copyright complaints

We respond to notices of alleged copyright infringement under the DMCA. Send notices identifying the material and its location to [email protected] with the subject "DMCA". We may remove material in response to a valid notice and may terminate repeat infringers' accounts.

9. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, create risk or legal exposure for us or other users, or where required by law; where practical we will notify you and give you an opportunity to export your repositories. After account deletion we will delete your Content within a reasonable period, subject to residual copies in backups that expire on their normal schedule.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NOT BE LOST. Keep independent copies of anything you cannot afford to lose; git makes this easy.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALETHI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. ALETHI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AND ONE HUNDRED US DOLLARS (USD $100).

12. Indemnification

If you use the Service on behalf of a business, that business will defend and indemnify Alethi against third-party claims arising from your Content or your breach of these Terms.

13. Changes to these Terms

We may update these Terms and the limits we publish for a plan. Material changes take effect 30 days after we give notice by email and by a banner on the Service, and every material change is listed at gitstack.sh/terms/changelog. Before the effective date you may export all of your data (your repositories with git, your reviews and comments through the API) and close your account. Changes that take effect sooner are limited to what compliance with the law requires. Continuing to use the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing law and general

These Terms are governed by the laws of the State of North Carolina, USA, excluding its conflict-of-law rules, and disputes are subject to the exclusive jurisdiction of the state and federal courts located in North Carolina. These Terms, together with the Privacy Policy and any plan terms presented at purchase, are the entire agreement between you and Alethi about the Service. If a provision is unenforceable, the rest remain in effect; our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
